Terms of Service

An earlier version of the agreement between you and us for the use of Kostrix, published unchanged so that you can see what you accepted and what has changed since.

Superseded version

This is version 2026-10-14 of the Terms of Service, kept so that anyone who accepted it can read what they accepted. It is no longer in force. The current version is 2026-10-16.

Version 2026-10-14 (superseded), in effect from 14 October 2026 (for accounts that accepted an earlier version: 29 October 2026). Read with the Disclaimer.

Contents (32 clauses)
In short: the summary
These terms are the agreement between you and Whizzy Geeks Internet Services Private Limited for the use of Kostrix, wherever in the world you are. They set out what the service does, what it does not do, what you remain responsible for, and how far our liability extends. Clause 12 (Warranties), clause 13 (Limitation of liability), clause 5 (Recommendations are advisory), clause 27 (Release and assumption of risk) and clause 32 (Exclusive remedies) limit our obligations to you and allocate risk. Clause 19 (Governing law) requires disputes to be resolved individually by arbitration in India and waives class, collective and representative actions and jury trial. Clause 23 (Use outside India), clause 24 (Export control) and clause 25 (Data protection across jurisdictions) deal with use outside India. Personal data is handled as the Privacy Policy describes, and personal data in the data the service reads from your AWS accounts as the Data Processing Addendum describes. Please read them.

1. Acceptance of these terms

These Terms of Service (the "Terms"), together with the Kostrix Disclaimer, the Privacy Policy and the Data Processing Addendum at https://www.kostrix.com/dpa, each incorporated by reference, form a binding agreement (the "Agreement") between Whizzy Geeks Internet Services Private Limited ("WhizzyGeeks", "we", "us", "our") and the person or entity that registers for or uses Kostrix ("you", "your", the "Customer").

You accept the Agreement by ticking the acceptance box presented during registration, or by accessing or using the service, whichever occurs first. If you do not accept it, do not register for or use the service.

If you accept the Agreement on behalf of a company or other legal entity, you represent that you are authorised to bind that entity, and "you" refers to that entity. If you lack that authority, you must not accept the Agreement.

We record the version of the Terms and of the Disclaimer that you accepted, together with the date, time and the network address from which acceptance was made. That record is evidence of acceptance.

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 and under the law of the place where you are resident or established. The service is offered for business and professional use only and is not directed at consumers acting outside the course of a trade, business, craft or profession.

By accepting the Agreement you represent and warrant that you are acquiring the service for the purposes of your trade, business, craft or profession and not as a consumer, and that you will not use it for personal, family or household purposes. We rely on that representation in offering the service and in the allocation of risk in this Agreement; if it is untrue, you are responsible for any consequence that follows from it.

Acceptance given electronically, by ticking a box or by using the service, is a valid and binding signature and acceptance under section 10A of the Information Technology Act, 2000 and under equivalent laws elsewhere, including the United States Electronic Signatures in Global and National Commerce Act and state enactments of the Uniform Electronic Transactions Act, and Regulation (EU) No 910/2014. You waive any requirement that the Agreement be signed by hand or delivered on paper, to the extent that the waiver is permitted by law.

2. What the service is

Kostrix is a hosted software service that reads billing, configuration, inventory, tagging and utilisation data from one or more Amazon Web Services ("AWS") accounts that you connect to it, and produces cost-optimisation findings, estimates, reports and dashboards from that data.

The service is a read-only analytical tool. It is designed not to call any AWS API that creates, modifies, deletes or otherwise changes the state of any resource in your AWS account, and the permissions it requests are limited accordingly. The IAM policy it runs under is published in full and you may inspect it before connecting any account.

The service does not act on your AWS account. It identifies opportunities and describes the action a person might take. Any change to your AWS environment is made by you, by your personnel, or by tooling you control.

Kostrix is at the date of these Terms offered as a beta service. Features may change, be added or be withdrawn. We do not offer a service level agreement, an uptime commitment or a support response time unless we have agreed one with you in a separate signed writing.

3. Your account and your credentials

You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account.

You are responsible for maintaining the confidentiality of your password, any multi-factor authentication device or recovery method, and any API key issued to you. You must notify us without undue delay at the address in clause 21 if you know or suspect that any of them has been compromised.

You must not share a single user account between individuals. Each person who uses the service must have their own credentials.

We may refuse registration, or suspend or close an account, where registration is restricted by invitation, allow-list or plan, or where we reasonably believe the account is being used in breach of this Agreement.

Back to contents

4. The AWS access you grant, and what remains yours

To use the service you connect one or more AWS accounts, either by creating a cross-account IAM role that trusts our service role, or by supplying a read-only access key. You represent and warrant that you are authorised to grant that access for every AWS account you connect.

You are solely responsible for:

  • deploying, configuring and maintaining the IAM role or user, and the permissions attached to it;
  • reviewing the published IAM policy before granting access, and satisfying yourself that the permissions it requests are acceptable to your organisation;
  • revoking that access at any time you choose, including on termination;
  • your AWS account itself, the resources in it, its configuration, its security posture and every charge AWS levies against it;
  • your own compliance with your agreement with AWS, and with any policy, regulation or contractual obligation that applies to your AWS environment.

Nothing in this Agreement makes us a party to your agreement with AWS, an agent of AWS, or responsible for any act or omission of AWS. AWS operates under a shared responsibility model; our access to your account does not transfer any part of your responsibility under it to us.

Connecting an AWS account is your instruction to us to read from it. You may withdraw that instruction at any time by removing the account in the application or by revoking the role or key in AWS. Revoking access in AWS takes effect immediately regardless of anything in the application.

AWS usage charges. To produce findings the service calls AWS APIs with the access you grant. Most of those calls are free of charge, but some are charged by AWS to your AWS account at AWS's published rates - in particular requests to the AWS Cost Explorer API (at the date of this version US$0.01 per request), Amazon CloudWatch metric requests beyond AWS's free allowance, and Amazon S3 requests (together, "AWS usage charges"). AWS usage charges are billed by AWS to you under your agreement with AWS. They are not part of the fees for the service, are not included in them, and are not reduced from, credited against or refunded out of them.

The amount of AWS usage charges depends on matters outside our control and within yours: the size of your AWS estate, the number of AWS accounts and regions connected, the scan interval you choose and the scans you start manually. Any figure we publish for them, in the application, in our documentation or elsewhere, is a good-faith estimate from measurements on other accounts; it is not a quotation, a commitment or a cap. You can reduce AWS usage charges by lengthening the scan interval, limiting the regions scanned or disconnecting an account, and you can stop them entirely by revoking the access.

To the maximum extent permitted by applicable law, we are not liable for AWS usage charges, however they arise, and you may not withhold, set off or deduct them from any amount you owe us.

5. Recommendations are advisory, and every figure is an estimate

Every finding, recommendation, saving figure, forecast, coverage percentage and report the service produces is advisory and informational only. It is not an instruction, not professional advice, and not a representation that any stated outcome will occur.

Savings figures are ESTIMATES. They are derived from data read from your AWS account at a point in time, from published or observed pricing, and from assumptions about future usage that may not hold. An estimate may differ, materially, from the amount by which your AWS bill actually changes if you act on it. Reasons include, without limitation: pricing changes by AWS; private pricing, credits, discounts or Enterprise Discount Program terms we cannot see; usage patterns that change after measurement; reserved capacity or savings plans already held; data that AWS did not return, returned late, or returned incompletely; regions, accounts or services not connected to the service; and the ordinary limits of measurement.

YOU MUST INDEPENDENTLY VALIDATE EVERY FINDING BEFORE ACTING ON IT. A resource that appears idle, unused, oversized, orphaned or redundant to an automated analysis may be none of those things. It may serve a purpose the service cannot observe — disaster recovery, compliance retention, a scheduled or seasonal workload, a dependency of another system, a legal hold, or a business reason known only to you.

You acknowledge that deleting, resizing, downgrading, reconfiguring, releasing or purchasing any AWS resource is your decision alone, taken by you, and that you are solely responsible for its consequences, including service interruption, data loss, loss of redundancy, breach of your own obligations to third parties, and any resulting cost.

We do not guarantee that you will achieve any saving, or any particular saving, or any saving at all.

Back to contents

6. Plans, fees and taxes

The service is offered on the plans published on our pricing page. A plan determines the number of AWS accounts you may connect and the price. Plan features and prices may change; a change to the price of a plan you are subscribed to takes effect at your next renewal and not during a period already paid for.

Taxes. Prices for customers billed in India are stated in Indian rupees and are inclusive of Goods and Services Tax at the applicable rate: the price shown is the price charged, and the invoice shows the taxable value and the tax backed out of it, with the place of supply. Prices for customers billed outside India are stated in US dollars exclusive of taxes; where the place of supply is outside India the supply is treated as an export of services and is invoiced accordingly, and you are responsible for any tax, withholding, duty or levy imposed in your own jurisdiction. If the applicable rate of tax changes, the tax-inclusive price may change with it from your next renewal.

Withholding. All fees are payable in full, without set-off, counterclaim, deduction or withholding. If the law of your jurisdiction requires you to deduct or withhold any tax from a payment to us, you will increase the payment so that, after the deduction or withholding, we receive the amount we would have received had none been required, and you will give us the official receipt for the amount withheld. Where a double-taxation agreement would reduce the withholding and we provide the documents it requires, you will apply the reduced rate.

Currency and charges. Fees are charged in the currency shown at checkout. Any currency conversion, foreign-transaction, cross-border or bank charge applied by your bank or card issuer is yours.

Payment is taken through our payment processor. We do not receive, hold or store your card number, CVV or any full payment instrument; those are handled by the processor under its own terms and its own security certifications.

Free trial. Where the pricing page offers a free period, a new subscription on a paid plan begins with that period (currently thirty days), during which the plan's monthly fee is not charged. The free period is available once per customer, on a customer's first subscription only; it is not available on a subsequent subscription, on a change of plan, or to a person or entity that has previously held a subscription. You must provide a valid payment instrument to start the free period.

Mandate registration charge. To start the free period we register a recurring payment mandate on your payment instrument, and a nominal one-off charge (currently one rupee for a customer billed in India, inclusive of any applicable tax, or one US dollar otherwise) is collected at that moment. That charge is the consideration for registering the mandate; it is not an advance on the plan fee, it is not refundable, and it is the only amount charged before the free period ends. It is invoiced like any other charge.

First charge. Unless you cancel before the free period ends, the plan's monthly fee is charged on the day after the free period ends and on the same day of each month after that. Cancelling before that day means no plan fee is ever charged; the mandate registration charge is not returned.

No refunds. Fees already paid are non-refundable except where refund is required by law or where we agree otherwise in writing. There is no money-back period. Cancelling a subscription stops future charges; it does not refund the period already paid for, and your access continues to the end of that period.

Deductions from any refund. Where a refund or reimbursement is made - because the law requires it, because we agree to it in writing, or under clause 16 or clause 17 - it is made net of the transaction costs of the original payment and of the refund itself that cannot be recovered: payment-processor and gateway fees, foreign-currency markup and conversion differences, cross-border and bank charges, and tax already remitted that cannot be reclaimed or adjusted. These costs vary from case to case, by payment method, currency, bank and country, and are not known in advance. Subject to clause 23 (Use outside India, local law and mandatory rights) and to any refund the law requires, we decide whether a refund is made and its final amount, and we will tell you how that amount was arrived at. A refund is made to the payment instrument the payment came from, in the currency it was charged in, and may take the time your bank or card issuer needs.

A free or preview plan, and the free period itself, may be changed, limited or withdrawn at any time for new subscriptions without liability; a free period already started runs to its end.

Back to contents

7. Subscription term, renewal and cancellation

A paid subscription begins when the payment mandate is authorised at checkout - with the free period, where one is offered, running from that day - and continues for the period stated at checkout. Unless cancelled, it renews automatically for successive periods at the then-current price, charged to the payment instrument you have authorised.

You may cancel at any time from the billing page in the application. Cancellation takes effect at the end of the period already paid for.

Where you subscribe through the AWS Marketplace, the entitlement, the billing and the cancellation are governed additionally by the AWS Marketplace terms and by your agreement with AWS, and those terms prevail over this clause to the extent of any conflict.

8. Acceptable use

You must not, and must not permit any person to:

  • connect an AWS account you are not authorised to grant access to;
  • use the service to access, analyse or derive information about any account, resource or data you are not entitled to;
  • attempt to gain unauthorised access to the service, to another customer's data, or to any system or network connected to it;
  • probe, scan or test the vulnerability of the service, or breach or circumvent any security or authentication measure, except under a written authorisation from us;
  • reverse engineer, decompile or disassemble any part of the service, except to the extent that restriction is prohibited by law;
  • resell, sublicense, rent, lease or provide the service to a third party as a service bureau, except under a written agreement with us;
  • use the service in violation of any applicable law, or of your agreement with AWS or any other third party;
  • interfere with or disrupt the integrity or performance of the service, including by automated request volume beyond documented limits.

We may investigate a suspected breach of this clause and may suspend access where we reasonably believe suspension is necessary to protect the service, other customers or any third party.

9. Intellectual property

As between the parties, WhizzyGeeks owns all intellectual property rights in Kostrix, including its software, detection rules, methodologies, interfaces, documentation and branding. Nothing in this Agreement transfers any of those rights to you.

Subject to the Agreement and to payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the service for your own internal business purposes during the term.

As between the parties, you own your Customer Data, defined as the data read from your AWS accounts and the configuration, settings and content you supply. You grant us a non-exclusive licence to host, process, transmit and display Customer Data solely to provide, secure, support and improve the service, and to comply with law.

We may compile aggregated and de-identified statistics from use of the service, provided they do not identify you, your organisation, any individual, or any AWS account or resource. We own those statistics and may use them without restriction.

Feedback you give us about the service may be used by us freely and without obligation to you.

Back to contents

10. Customer data, confidentiality and privacy

We will not sell Customer Data. We will not disclose it to a third party except to a sub-processor engaged to provide the service under written obligations at least as protective as the Data Processing Addendum, which lists them, where you direct us to, or where disclosure is required by law or by a competent authority.

Each party will keep the other's confidential information confidential and will use it only for the purposes of this Agreement. This obligation survives termination.

Personal data is processed as described in the Privacy Policy at https://www.kostrix.com/privacy. Where the Digital Personal Data Protection Act, 2023 applies, we act as a Data Fiduciary in respect of the account and contact data of your personnel, and process it on the lawful basis stated in that policy. Requests from data principals may be addressed to contactus@whizzygeeks.com.

You are responsible for ensuring that you are entitled to grant us access to the data we read from your AWS accounts, and that doing so does not breach any obligation you owe to a third party.

On termination we will delete or return Customer Data in accordance with the retention periods stated in the Privacy Policy, except where retention is required by law.

11. Security, and the limits of security

We implement and maintain reasonable security safeguards appropriate to the nature of the service and the data it holds. These include, as at the date of these Terms: encryption of data in transit using industry-standard transport security; encryption of data at rest; encryption of stored AWS credentials with a key held separately from the data; hashing of passwords with a deliberately slow algorithm; mandatory multi-factor authentication on administrative access; least-privilege, read-only access to your AWS account; network isolation; rate limiting and lockout on authentication; audit logging; and a published, externally reviewable IAM policy.

You acknowledge and agree, however, that NO SOFTWARE, SYSTEM, NETWORK OR ORGANISATION IS PERFECTLY SECURE. Software contains defects. New classes of vulnerability are discovered in operating systems, libraries, protocols, cryptographic primitives, cloud platforms and hardware after they have been deployed and believed safe. Encryption protects data against some attacks and not others, and does not protect data that is legitimately decrypted in order to be used. Determined, well-resourced or novel attacks may defeat safeguards that were reasonable when they were chosen.

Accordingly, while we take our security obligations seriously and work to meet them, WE DO NOT AND CANNOT WARRANT THAT THE SERVICE, ITS INFRASTRUCTURE, OR THE DATA HELD IN IT WILL NOT BE COMPROMISED, that any defect or vulnerability will be discovered before it is exploited, or that any safeguard will be effective against every attack. You accept that risk as an inherent characteristic of all networked software, including this service.

You are responsible for the security measures within your own control, including the strength and secrecy of your credentials, your multi-factor authentication, the security of the devices and mail accounts you use to access the service and to receive account e-mail, the permissions you grant in your AWS account, and the promptness with which you revoke access you no longer intend to give.

Where a personal data breach occurs, we will notify affected persons and the competent authority as and within the time required by applicable law, and will tell you what we know, what we do not yet know, what the likely consequences are, and what we are doing about it. Nothing in this Agreement limits or excludes any obligation we have under the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, or any other law that may not be limited or excluded by contract.

Back to contents

12. Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". To the maximum extent permitted by applicable law, and subject to the paragraph below, we disclaim all warranties, conditions, representations and terms of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, quiet enjoyment, accuracy, or non-infringement.

Without limiting that, we do not warrant that:

  • the service will be uninterrupted, timely, available at any particular moment, or free of error or defect;
  • any finding, estimate, saving figure, forecast or report is accurate, complete, current or suitable for any purpose of yours;
  • acting on any recommendation will produce any saving, or any particular result, or will not cause loss;
  • any defect will be corrected, or corrected within any period;
  • the service, or the infrastructure on which it runs, is free of vulnerabilities or will not be compromised.

Nothing in this Agreement excludes, restricts or modifies any guarantee, warranty, right or remedy that applicable law confers on you and that may not lawfully be excluded, restricted or modified. Where such a right applies and cannot be excluded, our liability for breach of it is limited, where the law permits that limitation, to re-supplying the service or paying the cost of having it re-supplied.

Back to contents

13. Limitation of liability

THIS CLAUSE ALLOCATES RISK BETWEEN THE PARTIES AND IS A BASIS OF THE BARGAIN. The fees charged for the service reflect that allocation; a different allocation would command a different price.

Subject to the carve-outs below, and to the maximum extent permitted by applicable law, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any of the following however arising, whether or not foreseeable and whether in contract, tort (including negligence), statute or otherwise:

  • loss of profit, revenue, anticipated saving or business opportunity, including any saving that a finding estimated and that did not materialise;
  • loss of, corruption of, or inability to access data;
  • loss of goodwill or reputation;
  • business interruption, or the cost of procuring substitute goods or services;
  • any increase in your AWS charges, or any charge arising from a change you made to your AWS environment;
  • any loss arising from the deletion, resizing, reconfiguration, release or purchase of any resource.

Subject to the carve-outs below, and to the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with this Agreement and the service, in any twelve-month period, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of (a) the fees you actually paid to us for the service in the twelve months immediately preceding the first event giving rise to the liability, and (b) INR 5,000 (five thousand Indian Rupees).

THE CARVE-OUTS. Nothing in this Agreement limits or excludes either party's liability for: fraud or fraudulent misrepresentation; wilful misconduct; gross negligence; death or personal injury caused by negligence; breach of confidentiality obligations; a party's indemnity obligations under clause 14; your obligation to pay fees due; infringement of the other party's intellectual property rights; or any other liability that applicable law does not permit to be limited or excluded, including liability under the Digital Personal Data Protection Act, 2023 and sections 43A and 72A of the Information Technology Act, 2000.

Each provision of this clause operates separately. If any part of it is held unenforceable, the remaining parts continue to apply.

The exclusions and limitations in this clause apply even if a limited remedy fails of its essential purpose, even if a party was advised of the possibility of the loss, and regardless of the theory of liability. Where the law of a jurisdiction does not permit a particular exclusion or limitation, that exclusion or limitation applies in that jurisdiction to the greatest extent the law permits, and liability is limited to the minimum amount that law allows.

The limits in this clause are aggregate across all claims by you, your affiliates and any person claiming through you, and are not increased by the number of claims, claimants, accounts, users or AWS accounts.

No claim may be brought more than twelve months after the claimant first knew, or ought reasonably to have known, of the facts giving rise to it, except where a longer period is required by law.

14. Indemnity

You will indemnify, defend and hold harmless Whizzy Geeks Internet Services Private Limited, its directors, officers, employees and agents against any claim, demand, proceeding, loss, liability, damage, cost and expense (including reasonable legal fees) arising out of or in connection with:

  • your breach of this Agreement or of any applicable law;
  • your grant of access to an AWS account you were not authorised to grant access to;
  • any act taken, or omitted, in your AWS environment, whether or not in reliance on a finding;
  • any claim by a third party — including any customer, regulator, auditor or counterparty of yours — arising from your use of the service or from a change you made following it;
  • Customer Data, including any claim that our processing of it at your instruction infringed a right of a third party.

We will indemnify you against any third-party claim that the service, as provided by us and used in accordance with this Agreement, infringes that third party's intellectual property rights, and will pay damages finally awarded or agreed in settlement. This indemnity does not apply to a claim arising from Customer Data, from use in breach of this Agreement, or from combination of the service with anything not supplied by us.

The party seeking indemnity must notify the other promptly, allow it to control the defence and settlement, and give reasonable assistance at the indemnifying party's cost. No settlement that admits liability or imposes an obligation on the indemnified party may be made without its consent.

Back to contents

15. Third-party services

The service depends on third parties, including Amazon Web Services, our payment processor, our e-mail delivery provider and the AWS Marketplace. Those parties operate under their own terms and their own privacy and security practices, over which we have no control.

We are not liable for any act, omission, outage, change, error, pricing decision, data loss or security incident of any third party, nor for any consequence to you of one. Where a third party's service is unavailable or behaves unexpectedly, the service may be unavailable, incomplete or wrong for as long as that lasts.

Any link from the service or our website to a third party's site or resource is provided for convenience and is not an endorsement.

Back to contents

16. Suspension and termination

You may terminate at any time by cancelling your subscription and closing your account. Termination does not entitle you to a refund of fees already paid, except as stated in clause 6.

We may suspend or terminate your access, in whole or in part, where: you are in material breach of this Agreement and have not cured it within fifteen days of written notice, where it is capable of cure; you fail to pay a fee when due; we reasonably believe suspension is necessary to protect the service, another customer or a third party from imminent harm; or we are required to do so by law.

We may discontinue the service, or any plan, on sixty days' notice to you, in which case we will refund the unused portion of any fee paid in advance for a period after the discontinuation date.

On termination: your right to use the service ends immediately; you should revoke the IAM role or access key in your AWS account, and we will cease to use it in any event; and clauses 5, 9, 10, 11, 12, 13, 14, 19, 22, 23, 24, 25, 26, 27, 28, 29, 31 and 32 survive, together with any other clause that by its nature is intended to survive.

Back to contents

17. Changes to the service and to these terms

We may modify the service, including by adding, changing or removing features. We will not materially reduce the core functionality of a paid plan during a period you have already paid for without offering you a pro-rata refund of the unused portion.

We may amend this Agreement. Where an amendment is material, we will give notice by e-mail to the address on your account, or by a notice in the application, at least fifteen days before it takes effect, and will publish the amended version with a new version number and effective date.

Continuing to use the service after an amendment takes effect is acceptance of it. If you do not accept an amendment, your remedy is to stop using the service and cancel before it takes effect; where you have paid in advance for a period extending beyond that date, we will refund the unused portion.

Each version of these Terms remains available so that you can see what you accepted and what has changed: the current version at https://www.kostrix.com/terms, and each earlier version at https://www.kostrix.com/terms/<version>, listed on the current page. The same applies to the Disclaimer, the Privacy Policy and the Data Processing Addendum.

18. Force majeure

Neither party is liable for any failure or delay in performing an obligation (other than an obligation to pay money) caused by an event beyond its reasonable control, including act of God, flood, fire, earthquake, storm, epidemic, pandemic, war (declared or not), hostilities, invasion, terrorism, civil disorder, sabotage, industrial action, embargo, sanctions, a change in law or in its interpretation, any governmental, regulatory or judicial action, a cyber attack, denial-of-service attack or malicious code not attributable to that party's failure to take reasonable precautions, failure or degradation of a public telecommunications network, of a power supply, of a payment network or of a cloud infrastructure provider or region, and widespread failure of the internet.

The affected party must notify the other and use reasonable efforts to mitigate. If the event continues for more than thirty days, either party may terminate on notice without liability, and we will refund the unused portion of any fee paid in advance.

Back to contents

19. Governing law, disputes and jurisdiction

This Agreement and any dispute, controversy or claim arising out of or in connection with it or with the service, including a dispute about its existence, validity, interpretation, performance, breach or termination, and any non-contractual dispute or claim (a "Dispute"), is governed by the laws of India, without regard to conflict of law rules, wherever you are located and wherever the service is used.

Before commencing any proceeding, the parties will attempt in good faith to resolve the Dispute by discussion between senior representatives for a period of thirty days from written notice of the Dispute. The notice must describe the Dispute and the relief sought.

If the Dispute is not resolved, it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (including, where you are resident or established outside India, as an international commercial arbitration under Part I of that Act), by a sole arbitrator appointed by agreement between the parties or, failing agreement within thirty days, in accordance with that Act. The seat and venue of arbitration is New Delhi, India; hearings may be held by video conference; and the language is English. The award is final and binding and may be entered and enforced in any court of competent jurisdiction, including under the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (New York, 1958).

INDIVIDUAL CLAIMS ONLY. To the maximum extent permitted by law, each party may bring a Dispute against the other only in its individual capacity, and not as a plaintiff, claimant or class member in any purported class, collective, consolidated, mass or representative action or arbitration, or as a private attorney general. The arbitrator may not consolidate the claims of more than one customer and may not preside over any form of class, collective or representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim (and only that claim) is severed and brought before the courts named below, and the arbitration of every other claim proceeds.

WAIVER OF JURY TRIAL. To the maximum extent permitted by law, each party irrevocably waives any right to a trial by jury in any proceeding arising out of or relating to this Agreement or the service.

Subject to the arbitration provision, the courts at New Delhi, India, have exclusive jurisdiction, and you irrevocably submit to that jurisdiction and waive any objection to it on the ground of venue or of forum non conveniens. Nothing prevents either party from seeking urgent interim, injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property, its confidential information or its systems, or us from bringing proceedings to recover unpaid fees in the courts of the place where you are established.

Each party bears its own costs of any arbitration, except that the arbitrator may award reasonable costs, including legal fees, to the substantially successful party.

The time limit for bringing a claim in clause 13 applies to arbitration as it does to court proceedings.

The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (in any form enacted) do not apply to this Agreement.

22. General

Entire agreement. This Agreement, together with the Disclaimer and the Privacy Policy, is the entire agreement between the parties about the service and supersedes all prior discussions, representations and understandings. Neither party relies on any statement not set out in it, save that nothing excludes liability for fraudulent misrepresentation.

Order of precedence. Where there is a conflict, a separately signed written agreement prevails over these Terms, and these Terms prevail over the Disclaimer and over any other page of our website.

Severability. If any provision is held invalid or unenforceable, it is severed or read down to the minimum extent necessary, and the remainder continues in full force.

Waiver. A failure or delay in exercising a right is not a waiver of it, and a single or partial exercise does not prevent further exercise.

Assignment. You may not assign or transfer this Agreement without our prior written consent, except to a successor of your business by merger or acquisition of substantially all assets, on notice to us. We may assign it to an affiliate or to a successor of our business.

No partnership. Nothing creates a partnership, joint venture, agency or employment relationship between the parties.

Third parties. A person who is not a party has no right to enforce any term of this Agreement, except that the persons named in clauses 14, 27 and 32 as protected by them may rely on and enforce those clauses.

Publicity. We will not use your name or logo as a customer reference without your prior written consent.

Language. This Agreement is made in English, and English governs its interpretation.

23. Use outside India, local law and mandatory rights

The service is operated from India and is made available to business customers in other countries on the basis of this Agreement. We make no representation that the service, or any content, finding or report it produces, is appropriate, lawful or available for use in any particular jurisdiction. If you access or use the service from outside India, you do so on your own initiative and you are responsible for compliance with the laws of the place from which you access it, including laws on data protection, telecommunications, encryption, record-keeping and taxation.

You must not use the service in, or make it available to any person in, a jurisdiction where its use would be unlawful or would require us to obtain any registration, licence or approval that we do not hold.

Mandatory rights. Some jurisdictions give business or consumer customers rights that cannot be excluded or limited by contract. Nothing in this Agreement excludes, restricts or modifies any such right, and each exclusion or limitation in this Agreement applies only to the maximum extent the law of the relevant jurisdiction permits. In particular:

  • European Union, European Economic Area and United Kingdom: nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that may not be excluded under applicable law, and nothing affects any right you have under data-protection law as a data subject;
  • United States: some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so parts of clauses 12 and 13 may not apply to you; in those states our liability is limited to the greatest extent the state permits;
  • Australia: where the Competition and Consumer Act 2010 (Cth) applies and a consumer guarantee cannot be excluded, our liability for failure to comply with it is limited, where the Act permits, to supplying the service again or paying the cost of having it supplied again;
  • New Zealand: you agree that you are acquiring the service for the purposes of a business, and the Consumer Guarantees Act 1993 does not apply, to the extent permitted by section 43 of that Act; the parties contract out of sections 9, 12A and 13 of the Fair Trading Act 1986 to the extent permitted by section 5D of that Act;
  • Canada: where the law of a province or territory does not permit a particular exclusion or limitation, it applies to the greatest extent that law permits; in Quebec, the parties have required that this Agreement and all related documents be drawn up in English;
  • Elsewhere: the same principle applies - a limitation that local law does not allow is read down to the extent local law does allow, and the rest of the clause continues to apply.

24. Export control, sanctions and anti-corruption

The service, and software and technical data made available through it, may be subject to export-control and economic-sanctions laws, including those of India, the United States (including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control), the European Union, the United Kingdom and the United Nations.

You represent and warrant that neither you nor any person who owns or controls you, nor any user of your account, is located, organised or ordinarily resident in a country or territory subject to comprehensive sanctions, or is named on, or owned or controlled by a person named on, any sanctions or restricted-party list maintained by any of those authorities. You will not access the service from, or allow it to be accessed from, any such country or territory, and will not use it for any purpose prohibited by those laws.

We may suspend or terminate the service immediately, without liability and without refund, if we reasonably believe that continuing to provide it would breach any such law or expose us to sanctions.

Each party will comply with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988, the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act 2010, and will not offer, give, request or accept any improper payment or advantage in connection with this Agreement.

25. Data protection across jurisdictions

As between the parties, you are the controller (or, under the Digital Personal Data Protection Act, 2023, the data fiduciary) of any personal data contained in Customer Data, and we process it as your processor or service provider, only to provide the service and in accordance with your documented instructions, which this Agreement records. The Data Processing Addendum at https://www.kostrix.com/dpa forms part of this Agreement and governs that processing, including the standard contractual clauses for transfers out of the European Economic Area, the United Kingdom and Switzerland. You accept it when you accept these Terms, and it needs no separate signature. If it and the rest of this Agreement conflict about that processing, the Data Processing Addendum prevails.

Where the California Consumer Privacy Act (as amended) applies, we act as your service provider: we will not sell or share personal information received from you, and will not retain, use or disclose it for any purpose other than providing the service, or outside the direct business relationship between us, except as that Act permits.

Customer Data is hosted on infrastructure in the region our service is deployed in, and may be accessed from India by our personnel for the purposes of providing and supporting the service. You are responsible for any notice to, or consent of, individuals and for any registration or transfer mechanism that the law of your jurisdiction requires before you make data available to the service, and you represent that you have given or obtained them.

You should not connect the service to, or cause it to read, special-category, health, payment-card or other regulated personal data. The service does not need such data to operate and is not designed to protect it to the standards those regimes require.

26. Independent evaluation and no reliance

You acknowledge that you are a business acting with the benefit of your own technical, financial and, where you consider it appropriate, legal advisers; that you have evaluated the service, the published IAM policy and this Agreement independently; and that you have not relied on any statement, representation, forecast, estimate, demonstration or promise, whether written or oral, that is not expressly set out in this Agreement, save that nothing excludes liability for fraudulent misrepresentation.

In particular, no statement of expected, typical, average or example savings - on our website, in marketing material, in a demonstration, in a sales conversation or in the service itself - is a representation, warranty or promise of any result for you.

27. Release and assumption of risk

You understand and accept that making changes to cloud infrastructure carries inherent risk of outage, data loss, performance degradation, cost increase and security exposure, and that those risks exist whether or not a change follows a finding of the service. You voluntarily assume all such risks for every change made in your AWS environment by you or on your behalf.

To the maximum extent permitted by law, and subject to the carve-outs in clause 13, you release Whizzy Geeks Internet Services Private Limited, its affiliates, and their directors, officers, employees, agents, suppliers and licensors from all claims, demands, losses and liabilities, known or unknown, arising out of or relating to any change made, or not made, in your AWS environment, including any change made in reliance on a finding, estimate or report of the service.

If you are a resident of California, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are resident in another jurisdiction with a comparable law, you waive its benefit to the extent the law permits.

28. Electronic records and evidence

You agree that we may give you notices, invoices, statements and other communications electronically, and that electronic records kept by us in the ordinary course of business - including the record of your acceptance of each version of these Terms and of the Disclaimer, audit logs, payment records and the output of the service - are admissible as evidence of the facts they record and, in the absence of manifest error, are conclusive of them, to the extent the law permits.

You are responsible for keeping your own copy of anything you wish to retain; we are not obliged to keep any record for longer than the law requires.

29. Government and regulated customers

If you are a government, a public authority or an entity acting on behalf of one, you represent that your use of the service is permitted by the rules that apply to you, including rules on procurement, data residency and cloud services, and that any term of this Agreement that those rules prevent you from accepting has been identified to us in writing before you accept it; absent such notice, this Agreement applies as written.

The service is commercial computer software and commercial computer software documentation within the meaning of the United States Federal Acquisition Regulation (48 C.F.R. 2.101 and 12.212) and the Defense Federal Acquisition Regulation Supplement (48 C.F.R. 227.7202), and any use by the United States Government is governed by this Agreement.

If you are subject to sector regulation (for example, as a bank, insurer, healthcare provider or public company), you are responsible for determining whether the service meets your regulatory obligations, including any obligation to notify a regulator of an outsourcing arrangement; we make no representation that it does.

30. Trial, free and beta use

To the maximum extent permitted by law, any part of the service provided free of charge, during a free period, or identified as beta, preview or experimental is provided without any warranty or commitment of any kind, and our aggregate liability in connection with it is limited to the floor amount stated in clause 13.

31. Interpretation and translations

Headings are for convenience and do not affect interpretation. The words "including" and "in particular" introduce examples and do not limit the words that precede them. A reference to a law includes that law as amended or re-enacted and any subordinate legislation made under it.

We may provide translations of this Agreement for convenience. If a translation and the English version differ, the English version prevails to the extent the law permits.

If any provision of this Agreement is held invalid, illegal or unenforceable in any jurisdiction, that holding does not affect the validity of the provision in any other jurisdiction or of any other provision in that jurisdiction.

32. Exclusive remedies, and who a claim may be brought against

To the maximum extent permitted by law, the rights and remedies set out in this Agreement are your sole and exclusive rights and remedies, and our entire liability, in connection with the service and this Agreement, and they replace any other right or remedy that might otherwise be available, whether in contract, tort (including negligence), under statute or otherwise. This paragraph does not affect a carve-out in clause 13 or any right that clause 23 preserves.

A claim arising out of or in connection with the service or this Agreement may be brought only against Whizzy Geeks Internet Services Private Limited, the contracting party. To the maximum extent permitted by law, you will not bring any such claim personally against any of our affiliates, or any director, officer, employee, agent, contractor, supplier or licensor of ours or of our affiliates, each of whom may rely on this paragraph; this does not apply to a claim for fraud or wilful misconduct by that person.

You will not use an affiliate, a person claiming through you, an assignee or any other intermediary to bring a claim that this Agreement would prevent you from bringing yourself, or to obtain a remedy greater than the one this Agreement allows you.
